Terms of Use

 

 

Use of the Atlas Online Training Library and all content therein (the “Site”) is subject to the terms of the Subscription (as hereinafter defined) and the following terms and conditions (“Terms of Use”) which constitute a legal agreement between the purchaser of the Subscription (“Subscriber”) and Atlas Systems, Inc. (“Atlas”).  You, an employee of Subscriber (“you” or “your”), have been authorized to use the Site to receive training in connection with Atlas’ products subject to these Terms of Use.  Your use of the Site constitutes your acceptance of these Terms of Use.  All use of the Site must comply with these Terms of Use.    

 

The Site is for access and use only for Subscriber’s internal business purposes during the term of the Subscription.  The Terms of Use only permit access to and use of the Site by authorized employees of Subscriber (“Subscriber Personnel”).  Access to or use of the Site by others or for purposes not permitted under the Terms of Use is expressly prohibited.  

 

Atlas may modify these Terms of Use from time to time through changes to these Terms of Use and/or notice to you, and your continued use of the Site shall constitute your agreement to such modifications.  Use of the Site at all times shall be subject to the Terms of Use then in effect. 

 

 

1.    Ownership of Site. The Site is protected by copyright, trademark, or other proprietary rights of Atlas and its licensors. You acknowledge and agree that the Atlas and its licensors retain all rights, including all intellectual property rights, in and to the Site and all suggestions made by you for the Site, even if such suggestions are incorporated into subsequent versions of the Site.

 

2.    Copy Restrictions. The Site is protected by patent, copyright, trade secret, and other intellectual property laws and international treaties.  Copying of the Site is expressly forbidden. 

 

3.    Use Restrictions. You shall not, nor shall you allow any third party to: (i) download, modify, publish, transmit, transfer, sell, adapt, translate, decompile, disassemble, reverse engineer or create derivative works of the Site; (ii) seek to interface or connect the Site with any other computer site, system or service; (iii) sell, rent, lease, lend, sublicense, distribute or otherwise use the Site to provide timeshare, service bureau, application service provider or similar services to or for any other third party or disclose, provide access to or use of the Site to any third party or otherwise use the Site for any purpose other than for training in connection with Atlas’ products within the limits of the Subscription; (iv) remove any product identification or proprietary rights notices; (v) use the Site to perform services for other third parties; or (vi) otherwise use the Site except as expressly permitted herein.  You may not disclose or permit access to or use of the Site by persons other than authorized Subscriber Personnel.  You may not modify, adapt, translate, or create derivative works based on the Site. You shall not permit any person or entity to access or use the Site in violation of the laws and regulations of the United States, including in violation of any export laws and regulations.

 

4.    Site Content. The content accessible through the Site is proprietary to Atlas.  Accordingly, all such content shall be treated as Confidential Information of Atlas subject to the requirements of Section 6 hereof.  Your use of such content shall be limited to your training in connection with Atlas’ products and such content shall only be disclosed to Subscriber Personnel with a need to know.

 

5.    Audit. You agree that Atlas may audit your access to and use of the Site for compliance with these Terms of Use and any other purpose permitted under applicable law. 

 

6.    Confidential Information. You shall protect as confidential and not disclose to any third party any information received or otherwise discovered that would reasonably be considered proprietary or confidential to Atlas, including, but not limited to, the Site, the content accessible through the Site and any other non-public information regarding the Site (collectively the “Confidential Information”). You shall use Confidential Information only for training in connection with Atlas’ products and shall only disclose Confidential Information to Subscriber Personnel with a need to know to use the Site as permitted under these Terms of Use and under a similar obligation of confidentiality.

 

7.    Site Security. Subscriber’s user login and password to access the Site may only be shared among authorized Subscriber Personnel; however, you must not disclose such login and password to third parties and you must not permit parties other than authorized Subscriber Personnel to access to the Site.  You are responsible for the security and use of the user login and password used to access the Site and limiting access to and use of the Site as required under these Terms of Use and the terms of the Subscription.  Any access to the Site using Subscriber’s user login and password will be deemed access by Subscriber.

 

8.    Miscellaneous. These Terms of Use shall be interpreted according to the laws of the Commonwealth of Virginia without regard to, or application of, choice of law rules or principles.  Notwithstanding the foregoing, you hereby waive your rights under, and hereby exclude application to these Terms of Use of, Virginia’s enactment of the Uniform Computer Information Transactions Act. You agree that the United Nations Convention on Contracts for the International Sale of Goods is specifically excluded from application to these Terms of Use.  All actions, suits or other proceedings arising out of or relating in any way to the Site or these Terms of Use shall be brought only in state and federal courts in the Commonwealth of Virginia and you hereby knowingly, voluntarily, intelligently, absolutely and irrevocably waives and agree not to assert any objection you may now or hereafter have to the laying of venue of all actions, suits or proceedings arising out of or relating in any way to the Site or these Terms of Use in such courts and you irrevocably submit to the jurisdiction of such courts for such purposes
